The Agreement is mybusinessautomated.com's offer to purchase Products/Services, conditional on Seller’s acceptance of these terms. Seller accepts by acknowledging in writing or performing under an Order. mybusinessautomated.com objects to any different or additional terms.
Prices are as stated in the Order, including all taxes and fees unless specified. Payment terms are net 60 days from receipt of a correct invoice unless otherwise stated.
Quantities and schedules are as specified in the Order. Seller must deliver on time; substitutes or late deliveries require mybusinessautomated.com’s written consent. Nonconforming or late deliveries may be rejected or accepted with a price reduction.
mybusinessautomated.com may terminate the Agreement or any Order with 15 days’ written notice or immediately for Seller’s breach, insolvency, or receivership. Upon termination, Seller must cease performance, return mybusinessautomated.com materials, and deliver paid-for deliverables.
Seller warrants that Products/Services are free from defects, merchantable, fit for purpose, compliant with laws, and do not infringe third-party intellectual property. Services will be performed professionally by qualified personnel.
Seller will indemnify mybusinessautomated.com and Authorized Buyers against claims arising from Seller’s breach, negligence, or product issues, including intellectual property infringement (excluding mybusinessautomated.com’s IP).
mybusinessautomated.com owns all rights to its Marks and Intellectual Property. Works created for mybusinessautomated.com are works made for hire, owned exclusively by mybusinessautomated.com.
Seller must not disclose mybusinessautomated.com’s confidential information or the business relationship without prior written consent, per the Confidentiality Agreement.
Seller must maintain Commercial General Liability insurance ($1M per occurrence, $2M aggregate), naming mybusinessautomated.com as an additional insured.
The Agreement is governed by Washington state law, with disputes resolved in Washington courts. The prevailing party in disputes is entitled to recover attorneys’ fees.
